1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FB Optic Assist ("Company," "we," "us," or "our") regarding your use of the FB Optic Assist software plugin for AutoCAD ("Software") and related services (collectively, the "Service").

By subscribing to, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. License Grant

2.1 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on a single computer for which you have a valid, active subscription.
• Use the Software solely for your internal business or personal purposes.
• Receive updates and support as provided during your subscription period.

2.2 License Restrictions

You may NOT:

• Copy, modify, adapt, translate, or create derivative works of the Software.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Rent, lease, sell, sublicense, distribute, or transfer the Software to any third party.
• Use the Software on more than one computer simultaneously with a single license.
• Share your license credentials or allow unauthorized users to access the Software.
• Use the Software for any illegal, unauthorized, or unethical purpose.
• Bypass, disable, or circumvent any license validation or security features.
• Use the Software to develop competing products or services.

2.3 Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. These Terms do not grant you any rights to our trademarks or service marks.

3. Subscription and Payment

3.1 Subscription Plans

The Software is offered on a subscription basis. Current pricing is $50 per month with a 3-day free trial period.

3.2 Free Trial

• New subscribers receive a 3-day free trial with full access to all features.
• A valid payment method is required to start the trial.
• You will not be charged during the trial period.
• After the trial period, your subscription will automatically convert to a paid subscription unless you cancel.
• Free trials are limited to one per customer.

3.3 Billing and Renewal

• Subscriptions are billed monthly in advance.
• Your subscription will automatically renew each month unless you cancel.
• You authorize us to charge your payment method on file for automatic renewals.
• We reserve the right to change subscription prices with 30 days' notice.
• Price changes will not affect your current billing cycle.

3.4 Payment Processing

• All payments are processed securely through Stripe.
• You are responsible for providing accurate and current payment information.
• If payment fails, we may suspend or terminate your access to the Software.
• You are responsible for all fees, taxes, and charges incurred through your account.

3.5 Cancellation

• You may cancel your subscription at any time.
• Cancellations take effect at the end of the current billing period.
• No refunds will be issued for partial months, except as provided in Section 3.6.
• Upon cancellation, you will lose access to the Software when the current period ends.

3.6 Refund Policy

• 30-Day Money-Back Guarantee: If you are not satisfied within the first 30 days of your paid subscription, contact us for a full refund.
• Refunds are processed within 10 business days to the original payment method.
• After 30 days, subscriptions are non-refundable.
• Refunds are not available for cancelled free trials (as no payment was made).
• Abuse of the refund policy may result in denial of future refunds.

4. Account Requirements

4.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.
• We are not liable for any loss or damage resulting from your failure to protect your account.

4.3 Hardware Binding

• Your subscription is tied to specific computer hardware using a unique hardware identifier.
• You may transfer your license to a different computer by contacting support.
• License transfers are limited to once per 30-day period.
• Attempts to circumvent hardware binding will result in immediate termination.

5. User Responsibilities

5.1 Compliance with Laws

You agree to use the Software in compliance with all applicable federal, state, local, and international laws and regulations.

5.2 System Requirements

• You are responsible for ensuring your system meets the minimum requirements (AutoCAD 2026, .NET Framework 4.8+, Windows 10/11).
• You are responsible for maintaining a stable internet connection for license validation.
• We are not responsible for issues caused by incompatible systems or software conflicts.

5.3 Data Backup

• You are solely responsible for backing up your AutoCAD drawings and project data.
• We are not responsible for any data loss resulting from use of the Software.
• We recommend regular backups of all important files.

6. Disclaimer of Warranties

We do not warrant that:

• The Software will be error-free, uninterrupted, or secure.
• The Software will meet your specific requirements or expectations.
• Any errors or defects will be corrected.
• The Software is compatible with all systems or third-party software.
• Results obtained from the Software will be accurate or reliable.

Your use of the Software is at your sole risk. You are responsible for verifying the accuracy of all outputs and results generated by the Software.

7. Limitation of Liability

MAXIMUM LIABILITY: Our total liability for all claims arising from or relating to these Terms or the Software shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Critical Applications: The Software is not designed, intended, or authorized for use in hazardous environments, critical infrastructure, life-support systems, or any application where failure could lead to death, personal injury, or severe physical or environmental damage. You agree not to use the Software for such purposes.

8. Indemnification

You agree to indemnify, defend, and hold harmless FB Optic Assist, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Software.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Your violation of any applicable laws or regulations.
• Any inaccurate, incomplete, or misleading information you provide.
• Your negligence or willful misconduct.

9. Intellectual Property

9.1 Our Intellectual Property

All content, features, and functionality of the Software, including but not limited to text, graphics, logos, icons, code, and documentation, are owned by FB Optic Assist or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Your Content

You retain all ownership rights to your AutoCAD drawings and project data. We do not claim any ownership or rights to your content. We do not access, collect, or store your design files.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Software, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution to you.

10. Updates and Modifications

10.1 Software Updates

• We may release updates, patches, and new versions of the Software from time to time.
• Updates may be automatic or require manual installation.
• Updates are included in your subscription at no additional cost.
• We may discontinue support for older versions of the Software.

10.2 Service Modifications

• We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
• We will provide reasonable notice of significant changes when practicable.
• We are not liable for any modifications, suspensions, or discontinuations.

10.3 Changes to Terms

• We may modify these Terms at any time.
• We will notify you of material changes by email or through the Software.
• Your continued use of the Software after changes constitutes acceptance of the modified Terms.
• If you do not agree to the modified Terms, you must stop using the Software and cancel your subscription.

11. Termination

11.1 Termination by You

You may terminate these Terms at any time by cancelling your subscription and uninstalling the Software.

11.2 Termination by Us

We may suspend or terminate your access to the Software immediately, without prior notice, if:

• You violate these Terms.
• You fail to pay subscription fees.
• You engage in fraudulent or illegal activities.
• You attempt to circumvent license validation or security features.
• We are required to do so by law.
• We discontinue the Service entirely.

11.3 Effect of Termination

• Upon termination, your license to use the Software immediately terminates.
• You must immediately cease using the Software and uninstall it from your computer.
• Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 7, 8, 9, and 12.
• Termination does not relieve you of any payment obligations incurred prior to termination.

12. Third-Party Software and Services

12.1 AutoCAD Requirement

The Software requires Autodesk AutoCAD 2026 to function. You are responsible for obtaining and maintaining a valid AutoCAD license. We are not affiliated with Autodesk, Inc.

12.2 Third-Party Components

The Software may include or interact with third-party software components, libraries, or services. These components are subject to their own license terms and conditions. We are not responsible for third-party components or their functionality.

12.3 Third-Party Links

Our website or Software may contain links to third-party websites or services. We do not endorse or control these third parties and are not responsible for their content, practices, or policies.

13. Export Compliance

The Software may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or on any U.S. government list of prohibited or restricted parties.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which FB Optic Assist is registered, without regard to conflict of law principles.

14.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Software shall be resolved as follows:

1. Informal Resolution: Contact us at support@fiberopticworld.io to attempt to resolve the dispute informally within 30 days.
2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where FB Optic Assist is registered.
3. Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

14.3 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FB Optic Assist regarding the Software and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without your consent.

15.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Notices

All notices under these Terms shall be in writing and sent to the email address associated with your account or to support@fiberopticworld.io.

15.7 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
